Arcbase Software License Agreement
This is an agreement (the “Agreement”) between you, the end user, and Arcbase Pty. Ltd. hereafter referred to as Arcbase. “Software” is defined as the Arcbase computer program and user documentation that is included with this Agreement and any updates or maintenance releases related thereto. By installing and/or using this Software you agree to become bound by the terms of this agreement. Do not use the Software until you have carefully read this Agreement.
IF YOU AGREE WITH THE TERMS OF THIS AGREEMENT, CLICK THE “ACCEPT” or “AGREE” BUTTON. BY COMPLETING THE INSTALLATION OF THIS SOFTWARE YOU AGREE WITH THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THIS SOFTWARE. PROMPTLY REMOVE IT FROM YOUR COMPUTER. You may then return the entire package.
You are governed by this Agreement.
This Software is protected by copyright laws and international treaties and may only be used in accordance with the License terms and conditions.
RIGHTS MANAGED LICENSE, Service License Agreement (SLA)
Period of the license is fixed at one calendar year intervals commencing from date of purchase. You have to maintain fees in the form of a Service and License Agreement fee yearly as determined by Arcbase Pty Ltd., to continue using Arcbase Software and to maintain access to the data stored in the company files. This License is non-transferable.
TRIAL VERSION SOFTWARE LIMITATION. If this Software is a trial version it has restrictions on its use and is intended to be used only for evaluation purposes. While you may use the sample data file sets supplied with the installation, these files are only to be used for evaluation purposes. You can also create your own company using the "Your Company" data files but you may access your Company Files only for a predetermined number of days from the date of installation of this software. Thereafter, you will be able to access the Company Files created by you only upon your purchase of a Software Rights Managed License. You agree to the restrictions in this paragraph. Upon your purchase a Software License and acceptance of the terms and conditions of the software license agreement accompanying the Licensed software functionality, the restrictions in this paragraph (Trial Version Software Limitation) shall no longer apply, but the remainder of this Software License Agreement shall remain in full force and effect, and in the event there is any conflict between this Agreement and the purchased software license agreement, this new software license agreement shall control.
LICENSE. Subject to the terms of this Agreement, Arcbase Pty Ltd through its local distributor (‘Arcbase’) grants to you, the original purchaser, a Rights Managed , non-transferable (except as specified below), nonexclusive License (the “License”) to use the Software to access your Licensed data containers in Australia, unless otherwise agreed to in writing by Arcbase as follows:
UNIRES LICENSES ARE ON A PER COMPANY BASIS. You may make additional copies of UniRes for archival/back-office or take home work use, but the company data files are registered and licensed on a per company basis. Each additional company after the first two supplied companies ("Your Company" and a "Sample" or Training company) will have to be purchased at our currently advertised rates. The term Multi-User also refers to each data file set of company files and not as a collective total for multiple company data file sets. Each company must be licenses individually for the number of simultaneous (concurrent) users.
ADDITIONAL COMPANIES Additional companies created with the Add Company (New Company Data set) with exception to Clone Company, where the original company is cloned for Training Purposes, must be registered as a New additional License is required. Additional Company Licenses are the same price as the original or advertised price whic may change from time to time..
License Renewal
Licenses must be renewed before on the annuation (expiry) of you current license.
UPON RECEIPT OF YOUR PAYMENT you will electronically receive the latest UniRes software executable file by electronic media, plus a registration file for each licensed data sets / files.
NUMBERS OF USERS.
i. A Standard License allows access to your Licensed company Data File initially for a single user. The number of simultaneous users is determined by the Company License file you have subscribed to. You may use the Software on multiple computers that you own or operate. In event of an upgrade or product exchange the license hereby granted shall automatically transfer to the new version or products.
ii. Additional Workstation Licenses. If you purchase Additional Workstation Licenses, you may use the Software on only one Local computer network that you own or operate at a single physical location and only then in respect of company files created and activated by you or by another licensed user. You may transfer the Software from one computer to another that you own or operate on this network provided that you do not use or permit the usage of the Software on more than the licensed number of computers or computer terminals at a time, nor permit the usage of the Software on more than one network at any one time, nor permit the Software to be used in respect of company files that you have not activated or have not been created by you or by another licensed user. Wireless Local Networks may not be suitable for multi-user access due to low network speeds (bandwith restrictions). REMOTE SUPPORT may be refused, if network speeds are inadequate for Remote Desktop Access.
c. UPDATES AND UPGRADES. In the event of an upgrade, update or product exchange the license hereby granted shall automatically transfer to the new version or product. All rights in respect of the original product shall lapse and no further use of these shall be permitted.
d. PORTABLE OR HOME COMPUTER AND ARCHIVE COPIES. You may make a copy of the Software and install it on either a portable computer or a computer located in your home provided that the copy is for your own exclusive use and is not operated simultaneously with the original of the Software. Otherwise you may not copy or duplicate the Software, except as necessary solely for archival purposes, Software error verification, or to replace defective storage media, provided you keep the original and the copies. You may not alter, decompile or disassemble the Software. You may make copies of the user documentation up to but not exceeding the number of multi-user licenses you have purchased.
e. COPIES. You may not copy or duplicate the Software or this Trial Version Software and distribute it to others for their evaluation, except as necessary solely for archival purposes, program error verification, or to replace defective storage media. You agree to retain the Software and all such copies in your possession.
f. RESTRICTIONS, TRANSFER. You may not sublicense, lease, rent, lend, distribute or otherwise transfer or assign the Software or any lawful copies thereof, except that you may transfer all of your right and interest in and to the Software, including any upgrades, to a single person or entity (“Transferee”), provided that (i) you either transfer to the Transferee any and all copies you may have made or destroyed said copies upon transfer of the Software, so that you retain no copies, (ii) that you transfer to the Transferee any and all manual(s) which were provided by Arcbase pertaining to the Software, , (iii) the Transferee agrees to be bound by the terms of the Agreement, and (iv) you notify Arcbase in writing of such transfer, and provide the name and address of the Transferee.
g. TERM AND TERMINATION. The License is effective until terminated. You may terminate the License at any time by removing the Software from your computer and destroying any copies you have of the Software. The License is automatically terminated if you violate any portion of this Agreement. You agree upon any such termination to destroy the Software together with all copies. Upon termination, there will be no refund of any monies paid by you. Termination of this License shall be in addition to and not in lieu of any other remedies available to Arcbase.
h. PROTECTION AND SECURITY. You agree to use your best endeavours and to take all reasonable steps to safeguard the Software to ensure that no unauthorized person has access to the Product and that there is no unauthorized copying or distribution of the Software or user documentation.
CONTINUING FULFILMENT. If Arcbase elects, in its sole discretion, to produce subsequent updates and revisions to the Software (collectively, “Updates”), you may receive such Updates as they become available. All Updates are subject to the terms of this License. COPYRIGHT PROTECTION. Except as set forth in “LICENSE” above, you may not copy or use the Software, and any copy that you make as permitted by this Agreement must contain the same copyright and other intellectual property notices that appear on or in the Software. The Software is protected by Australian and International copyright or other intellectual property law. ANY USE OF THE SOFTWARE, EXCEPT AS EXPRESSLY PERMITTED IN THIS LICENSE AGREEMENT, MAY SUBJECT YOU TO CIVIL DAMAGES AND LEGAL FEES, AND MAY BE A SERIOUS CRIME.
CONFIDENTIALITY. The Software constitutes Confidential Information and contains trade secrets of Arcbase. You are not permitted to disclose the Software to any third party except in accordance with this Agreement. You may not reverse engineer, disassemble, or decompile the Software, or otherwise attempt to discover the source code of the Software.
TRADEMARKS. Trademarks shall be used in accordance with trademark law, including identification of trademark owners’ goods and services. Trademarks can only be used to identify printed output produced by the Software, and such use does not give you any rights of ownership in that trademark.
POWER CHARGING TABLES AND RENTAL/SITE RATES TABLES. YOU ASSUME FULL RESPONSIBILITY FOR THE TABLE VALUES TO DETERMINE CHARGES AS WELL AS TAX TABLE VALUES (“TAX TABLES”) WHETHER PROVIDED BY ARCBASE OR OTHERS, TO ACHIEVE YOUR INTENDED PURPOSES, FOR THE PROPER INSTALLATION AND USE OF THE TABLES AND FOR VERIFYING THE RESULTS OBTAINED FROM USE OF THE TABLES. Arcbase DISCLAIMS ANY WARRANTY OR CONDITION THAT THE FUNCTIONS CONTAINED IN THE TABLES WILL MEET YOUR REQUIREMENTS OR THAT THE TABLES OR THE OPERATION OF THE RATES TABLES WILL BE INTERRUPTION OR ERROR FREE.
PROFESSIONAL ADVICE. Arcbase IS NOT ENGAGED IN RENDERING LEGAL, ACCOUNTING OR OTHER PROFESSIONAL ADVICE OR SERVICE. IF LEGAL ADVICE OR OTHER EXPERT ASSISTANCE IS REQUIRED, THE SERVICE OF A COMPETENT PROFESSIONAL SHOULD BE SOUGHT. IT IS YOUR RESPONSIBILITY TO KEEP INFORMED OF ACCOUNTING, TAX, AND/OR LEGISLATIVE CHANGES THAT MAY AFFECT YOU AND TO ENSURE THAT YOU FOLLOW THESE CHANGES.
DISCLAIMER OF WARRANTIES
EXCEPT AS PROVIDED IN THE FOREGOING PARAGRAPH (“LIMITED WARRANTY AS TO MEDIA”), Arcbase DISCLAIMS ANY AND ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THE SOFTWARE AND RELATED MATERIALS ARE PROVIDED “AS IS”. Arcbase DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES THAT THE PRODUCT IS FREE OF VIRUSES OR ERRORS OR WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. Arcbase DISCLAIMS ANY WARRANTY AS TO THE PERFORMANCE OF THE SOFTWARE OR AS TO THE RESULTS THAT MAY BE OBTAINED BY USING THE SOFTWARE. THE ENTIRE RISK AS TO
THE INSTALLATION, USE, QUALITY, AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. IT IS YOUR RESPONSIBILITY TO VERIFY THE RESULTS OBTAINED FROM USE OF THE SOFTWARE.
Some jurisdictions do not allow the limitation or exclusion of implied warranties, so the above limitation or exclusion may not apply to you. This warranty gives you specific legal rights and you may also have other rights which vary. This disclaimer of warranties and the limitation of liability below shall not be modified, diminished or affected by and no obligation or liability will arise or grow out of the rendering of technical, programming, or other advice or service or the provision of support for the Software by Arcbase.
You UniRes License may be revoked by Arcbase Pty. Ltd. without cause or notice. Arcbase Pty. Ltd. reserves the right to refuse subscription renewals without cause or notice.
If you run this software you accept the terms and conditions of this agreement.
Note that some software parts are supplied free of charge and are Public Domain Software and is GPU Licensed.

By continuing with this Installer, you will be agreeing to the Terms of this document.
Arcbase Service and License Agreement Terms & Conditions (Rev. 15012017-3). Referred to as "SLA".
Arcbase Pty. Ltd. will be referred to as "Arcbase".
UniRes refers to UniRes 12 - Universal Reservations Software.
UniRes software support provides telephone and internet based support as well as access to new product features, updates, and software patches.
Arcbase is firmly committed to providing high quality, timely customer service. We have enhanced our software support plan providing you with product support that works the way you want it to. This support plan provides you with the support services that will maximize your investment.
UniRes 12 is never sold. It is a software "tool" licensed to you to record and retrieve data in a Licensed Company Data file in your Name or Trading as Business Name.
A License is required for each separate Company or Trading Company. Multi-User Licenses are
UniRes RIGHTS MANAGED LICENSE fees must be paid to Arcbase Pty. Ltd. before the due date to ensure continued full access to your company data files.
License Fees as Standard provide "How to..." support for users over the phone or via a direct internet connection using our software support utility program, downloadable from our WEB site (www.arcbase.com.au/support.)
A 16 digit activation or reactivation code will be forwarded to you electronically upon receipt of full payment for the years SLA fees as invoiced.
Standard
1. General Policies:
Arcbase reserves the right to limit each telephone call to 10 minutes and to limit each contact (telephone or electronic) to one incident, which is defined as a single support issue or question.
1b. Arcbase may also limit or terminate support service to a customer who uses the service in an irregular, excessive, abusive or fraudulent manner.
1c. Terms, conditions, support features, procedures, pricing and support availability are subject to change at any time without notice.
1d. If multiple Company Files are licensed to you, the support times encompass all Licenses held as a whole.
1e. Internet Support is only available when internet is available either on your site installation of UniRes or at our offices. Internet Services are beyond our control if services outages occur. If the internet is not available, we can only provide phone support. No credits will be given to due internet outages.
Remote Support Host Software forms part of this installer.
Important
Some features in UniRes12 require internet access including on-line remote support.
UniRes12 - Arcbase Remote Support also requires the installation of thirdparty utilities from other software suppliers and manufactureres like "Splashtop Streamer". These programs provide highly secure encrypted connections to your computer system and network for our support service. It is a License Requirement to grant full and unrestricted access to your computer using such utilities which will be installed with this Setup installer.
2. Support Topic Limitations:
Inquiries are limited to the following Arcbase product areas: installation of Arcbase software...
2a. Upgrade assistance. (May be chargeable)
2b. Users "How to.. Questions and correspondence.
2c. All Non-UniRes related assistance will attract a fee. (Problems with printers and/or the operating system configuration)
2d. All support calls of a technical nature or liaison with third party Software or IT companies will be chargeable.
Basic usability and basic functionality, as described in Arcbase product documentation. Arcbase does not claim to resolve connectivity issues caused by third-party services, service providers, hardware or software, or networking problems. Arcbase phone support does not cover inquiries on general accounting or taxation issues, nor does it include application consulting or training. Our technical support consultants will make the determination of the nature of your query for these purposes.
3. Software Upgrades:
New versions and releases of UniRes may be offered to existing UniRes12 users at a generous discount.
4. Extended assistance may be required if you need help installing/reinstalling UniRes12. Hourly Service Fees may apply to extended assistance.
5. Computers and Networks must be upgraded or downgraded to meet the operating requirements of UniRes Software.
6. Assistance, Changes to, or additions to existing reports will attract a fee. Please ask for a quote.
7. New reports that become available from time-to-time may be supplied free of charge if they become part of the UniRes Standard System.
8. Customised or New Reports created for you will remain Copyright by Arcbase Pty Ltd. and become subject to the terms of your License Agreement.
9. Your data files will become "Read Only" and the UniRes program may become limited in functionality if your Service License Due Date is passed. To reactivate your license after the due date, payment must be received at our bank. Reactivation can be done over the phone quoting your credit card details or by direct transfer.
UniRes12 is never sold. It is a software "tool" licensed to you to record and retrieve data in a Licensed Company Data file in your Name or Trading as Business Name.
Disclaimer of Warranties:
Arcbase Support Plan services are limited to Arcbase UniRes (Reservations) software products, regardless of other software or products that may be included with the Arcbase software, either at point of purchase or by other means, including from Arcbase, or software or products recommended by Arcbase for use in conjunction with Arcbase software, unless otherwise stated by Arcbase.
